Terms of Service

Agreement
These Terms of Service ("Terms") are a binding agreement between you and RagoxCell ("RagoxCell", "we", "us") governing your access to and use of the RagoxCell software-as-a-service platform, websites and related services (the "Service"). By creating an account or using the Service you agree to these Terms. If you are using the Service on behalf of an organization, you represent that you are authorized to bind that organization.

The Service
RagoxCell provides multi-tenant software to help repair businesses manage intake, repair tracking, invoicing, payments, inventory and customer communication. We may add, change or remove features at any time. We provide the Service on an "as available" basis and do not guarantee uninterrupted operation.

Accounts & eligibility
You must provide accurate registration information, keep your credentials secure, and are responsible for all activity under your account. You must be at least 18 years old and able to form a binding contract. You are responsible for your team members' use of the Service.

Customer data & your responsibilities
You retain ownership of the data you and your customers submit ("Customer Data"). You grant us a limited license to host and process Customer Data solely to provide the Service. You are solely responsible for the Customer Data, for obtaining any necessary consents from your own customers, for the lawfulness of your use, and for complying with all laws applicable to your business (including consumer-protection, tax, privacy and electronic-communications laws).

Acceptable use
You agree to use the Service in compliance with our Acceptable Use Policy, which is incorporated by reference. You must not upload infringing, unlawful, malicious or harmful content, or use the Service to violate the rights of others.

Fees, trials & billing
Paid plans are billed in advance on a recurring basis through our payment processor. Free trials convert to paid plans unless cancelled before the trial ends. Fees are non-refundable except as stated in our Refund Policy or required by law. You authorize us and our processor to charge your payment method for all fees. Taxes are your responsibility where applicable.

Third-party services
The Service integrates optional third-party services (for example payment gateways, messaging and email providers). Your use of those services is governed by their own terms, and we are not responsible for them. You are responsible for any fees charged by such providers.

Intellectual property
The Service, including its software, design and trademarks, is owned by RagoxCell and protected by law. We grant you a limited, non-exclusive, non-transferable, revocable right to use the Service during your subscription. You may not copy, modify, reverse-engineer, resell or create derivative works of the Service.

Intellectual-property complaints
We respond to notices of alleged copyright infringement under our DMCA Policy. We may remove content and terminate repeat infringers.

Suspension & termination
We may suspend or terminate your access if you breach these Terms, fail to pay, or create risk or legal exposure for us or others. You may stop using the Service at any time. On termination, your right to use the Service ends; we may delete Customer Data after a reasonable period. You can export your data before termination.

Disclaimers
THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED OR STATUTORY, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICE WILL BE ERROR-FREE, SECURE OR UNINTERRUPTED, OR THAT DATA WILL NOT BE LOST.

Limitation of liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, RAGOXCELL WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL OR PUNITIVE DAMAGES, OR FOR LOST PROFITS, REVENUES, DATA OR GOODWILL. OUR TOTAL LIABILITY FOR ANY CLAIM ARISING OUT OF OR RELATING TO THE SERVICE WILL NOT EXCEED THE AMOUNT YOU PAID US IN THE 12 MONTHS BEFORE THE EVENT GIVING RISE TO THE CLAIM (OR USD $100 IF YOU PAID NOTHING).

Indemnification
You will indemnify and hold harmless RagoxCell and its officers, employees and agents from any claims, damages, liabilities and expenses (including reasonable legal fees) arising out of your Customer Data, your use of the Service, your products and services to your own customers, or your breach of these Terms or applicable law.

Governing law & disputes
These Terms are governed by the laws of the State of Florida, United States, without regard to conflict-of-laws rules. The exclusive venue for disputes will be the state and federal courts located in Florida, and you consent to their jurisdiction. You and we agree to first attempt to resolve disputes informally by contacting support@ragoxcell.com.

Changes
We may update these Terms. Material changes will be posted here with a new version number and effective date, and your continued use after they take effect constitutes acceptance. We may ask you to re-accept updated Terms in the app.
